Terms and Conditions for Gyain

Effective Date: September 1, 2025

1. Introduction

These Terms and Conditions ("Agreement") govern your access to and use of Gyain ("Service"), provided by Gyain Applications Private Limited ("Gyain", "we", "us", or "our"). Gyain is an AI-powered educational platform that operates on a wallet and top-up pack system. By accessing or using Gyain, you ("User", "you") agree to be bound by these terms. If you are a minor (under 18 years of age), your parent or legal guardian ("Parent/Guardian") must agree to these Terms on your behalf, and you may only use Gyain with their supervision and consent. If you do not agree to these terms, or if your Parent/Guardian does not consent (for minors), please refrain from using Gyain.

2. Eligibility and Registration

• Gyain is primarily intended for students.
• Users under 18 years of age ("Minors") are only permitted to register and use Gyain with the explicit, verifiable consent of their Parent/Guardian. By allowing a Minor to use Gyain, the Parent/Guardian agrees to be bound by these Terms and assumes full responsibility for the Minor's use of the Service, including all associated activities and data processing.
• Users who are 18 years of age or older ("Adult Users") may register and use Gyain on their own behalf.
• You agree to provide true, accurate, current, and complete registration information.
• You agree to promptly update your registration data to keep it true, accurate, current, and complete.

3. User Accounts

• You are solely responsible for maintaining the confidentiality and security of your Gyain account credentials, including your password.
• All activity conducted under your account is your sole responsibility. For accounts of Minors, the Parent/Guardian is responsible for supervising their child’s account activity.
• You must notify us immediately at edu@gyain.com if you suspect any unauthorized access to or use of your account.

4. Use of Service

• Gyain is licensed for your personal, non-commercial educational use only.
• You agree not to misuse Gyain, including but not limited to accessing other users’ accounts, interfering with our systems, introducing viruses or harmful code, or violating any applicable local, state, national, or international laws or regulations.
• You must not upload, post, or transmit content that is unlawful, harmful, defamatory, infringing of others' rights, or otherwise objectionable.

5. Intellectual Property

• All content, trademarks, service marks, logos, and proprietary technology ("Gyain IP") used or displayed within Gyain are the exclusive property of Gyain Applications Private Limited or its licensors.
• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Gyain IP solely for your personal, non-commercial educational use in accordance with this Agreement.
• You may not copy, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Gyain IP without our prior written permission.

6. Wallet, Top-Up Packs, Service Plans, and Pricing

• Gyain operates on a wallet system. You can add funds to your Gyain wallet by purchasing "Top-Up Packs" as made available on the platform.
• The balance in your Gyain wallet can be used to access various "Service Plans" or features within the Gyain Service.
• All Top-Up Pack purchases are final and governed by our Refund Policy.
• Gyain reserves the right to change the pricing of Top-Up Packs, the rates for Service Plans, or the features included in any Service Plan at any time without prior notice. Any changes will be effective immediately upon being posted on the Gyain platform. Your continued use of the wallet and purchase of Top-Up Packs after such changes constitutes your acceptance of the new pricing and plan terms.
• For Minors, all Top-Up Pack purchases must be authorized and made by their Parent/Guardian.

7. Data Privacy

• Your privacy is paramount to us, especially for Minors. Refer to Our detailed Privacy Policy which explains how Gyain collects, stores, uses, processes, and protects your personal information (including profile data), as well as specific measures taken for children's data, in compliance with applicable Indian laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act) and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
• By using Gyain, you (and your Parent/Guardian, if you are a Minor) explicitly consent to the collection and processing of your data as outlined in our Privacy Policy. We use your personal information internally to personalize your learning experience, improve our services, and for other purposes described in the Privacy Policy. We do not engage in tracking or behavioral monitoring of Minors, targeted advertising to Minors, or process data likely to cause harm to a Minor.

8. Service Availability and Modifications

• Gyain strives to ensure continuous availability but does not guarantee uninterrupted, error-free, or secure access to the Service.
• We reserve the right to modify, suspend, or discontinue any aspect of Gyain (including specific features, content, or the Service entirely) at any time without prior notice.
• We may update these Terms and Conditions from time to time. We will notify you (and your Parent/Guardian if you are a Minor) of any material changes by posting the updated Terms on Gyain and/or by sending an email to the address associated with your account. Your continued use of Gyain after the effective date of the revised Terms signifies your acceptance of the changes.

9. Disclaimers and Limitation of Liability

• GYAIN IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
• USERS ACKNOWLEDGE AND AGREE THAT GYAIN IS AN ASSISTING AI-BASED PRODUCT. THE ANSWERS AND INFORMATION PROVIDED BY GYAIN ARE GENERATED BY ARTIFICIAL INTELLIGENCE TECHNOLOGY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY OUTPUT OR RESPONSES PROVIDED BY GYAIN, AND USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ALL SUCH INFORMATION.
• ANY DECISION OR ACTION TAKEN BASED ON OUTPUT FROM GYAIN IS THE SOLE RESPONSIBILITY AND AT THE SOLE RISK OF THE USER.
• TO THE FULLEST EXTENT PERMITTED BY LAW, GYAIN APPLICATIONS PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE GYAIN; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON GYAIN; (III) ANY CONTENT OBTAINED FROM GYAIN; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

10. Termination

• We reserve the right to suspend or terminate your access to Gyain, with or without notice, if you breach these Terms or for any other reason deemed appropriate by us.
• You may stop using Gyain at any time by ceasing to access the Service.
• Sections on intellectual property, limitation of liability, governing law and dispute resolution, and any other provisions that by their nature should survive termination, shall survive any termination of this Agreement.

11. Governing Law and Dispute Resolution

• These Terms and your use of Gyain shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
• Any disputes arising out of or in connection with these Terms or Gyain shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
